XTUDENT – TERMS & CONDITIONS

1. INTRODUCTION & ACCEPTANCE

Welcome to xtudent.in (“Xtudent”, “Platform”, “We”, “Us”, “Our”).

Xtudent is a digital learning platform and marketplace that enables learners (“Users”, “Members”) to access educational courses and allows independent trainers, educators, and industry professionals (“Trainers”, “Instructors”) to publish and sell their educational content through xtudent.in.

By accessing, browsing, registering on, or using xtudent.in, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions, along with all policies referenced herein, including but not limited to the Privacy Policy, Refund Policy, Trainer Policy, and Community Guidelines (collectively referred to as “Policies”).

If you do not agree with these Terms, you must immediately discontinue use of xtudent.in.


2. ELIGIBILITY

  • You must be 18 years of age or older to register or use xtudent.in.
  • By using the Platform, you represent and warrant that you are legally competent to enter into a binding agreement under applicable laws.
  • Xtudent reserves the right to refuse access, suspend, or terminate any account without obligation to provide reasons.

3. ROLE OF XTUDENT

Xtudent operates solely as:

  • A technology-enabled learning platform, and
  • A marketplace facilitator connecting Users and Trainers.

Xtudent does not:

  • Act as an employer, agent, partner, or representative of any Trainer
  • Own Trainer-created course content unless explicitly stated
  • Guarantee learning outcomes, certifications, income, employment, or professional advancement

All Trainers operate independently and are solely responsible for the content they provide on xtudent.in.


4. USER ACCOUNTS

4.1 Account Creation

  • Users must provide accurate, complete, and up-to-date information during registration.
  • You are solely responsible for maintaining confidentiality of your login credentials.
  • Each individual may maintain only one account, unless expressly authorized by Xtudent.

4.2 Account Responsibility

You agree not to:

  • Share your account or login credentials
  • Impersonate any individual or entity
  • Misuse platform features or access controls

Xtudent shall not be liable for any loss or damage arising from unauthorized account access.


5. TRAINER ACCOUNTS & CONTENT

Trainers publishing content on xtudent.in:

  • Retain ownership of their original intellectual property
  • Grant Xtudent a non-exclusive, worldwide, royalty-free, transferable license to host, distribute, display, market, and promote their content on the Platform

Xtudent reserves the right to:

  • Review, approve, reject, modify, or remove content
  • Suspend or terminate Trainer accounts for violations
  • Enforce quality, compliance, and marketplace standards

Trainer earnings, revenue sharing, and payout terms are governed by the Trainer Policy (hyperlink to be added).


6. COURSE ACCESS & USAGE LICENSE

All course access on xtudent.in is provided as a limited, non-transferable, non-exclusive, revocable license.

Users may not:

  • Download, copy, screen-record, or reproduce course content
  • Share access credentials with others
  • Redistribute, resell, or commercially exploit any content
  • Use course content outside the Platform without written permission

Any violation may result in immediate account termination and legal action.


7. PAYMENTS & TRANSACTIONS

  • Payments on xtudent.in are processed via third-party payment gateways.
  • Xtudent does not store sensitive financial information.
  • Course prices, applicable taxes, and fees are displayed at checkout.
  • Failed, reversed, or disputed payments may result in suspension of access.

Payment-related matters are further governed by the Pricing & Payment Policy (hyperlink to be added).


8. REFUNDS & CANCELLATIONS

  • Digital courses may be non-refundable once accessed or consumed.
  • Refund eligibility depends on the nature of the course, access level, and timing.
  • Abuse of refund mechanisms may lead to account restrictions.

9. INTELLECTUAL PROPERTY RIGHTS

All elements of xtudent.in, including but not limited to:

  • Platform architecture
  • Website design
  • Branding, logos, and trademarks
  • User interface and software code

are the exclusive intellectual property of Xtudent.

Unauthorized use, reproduction, imitation, or distribution is strictly prohibited.


10. ANTI-PIRACY & CONTENT MISUSE

Strictly prohibited actions include:

  • Screen recording or capturing course content
  • Uploading content to other platforms
  • Sharing, reselling, or redistributing access
  • Using bots, automation, or scraping tools

Xtudent reserves the right to:

  • Suspend or permanently terminate accounts
  • Revoke access without refund
  • Initiate civil or criminal legal proceedings
  • Claim damages where applicable

11. COMMUNITY CONDUCT

Users must maintain respectful, lawful, and professional conduct on xtudent.in.

Prohibited behavior includes:

  • Harassment, hate speech, or abusive language
  • Spamming or unauthorized promotions
  • Disruptive or illegal activities

Xtudent retains full moderation rights under the Community Guidelines (hyperlink to be added).


12. CERTIFICATES & DISCLAIMERS

  • Certificates issued by xtudent.in indicate course completion only
  • Certificates are not government-recognized degrees or licenses
  • Xtudent makes no guarantees regarding outcomes, skills application, or career benefits

Users remain solely responsible for how they apply learned knowledge.


13. THIRD-PARTY SERVICES

Xtudent may integrate third-party services for:

  • Payment processing
  • Video hosting
  • Communication
  • Analytics

Xtudent is not responsible for interruptions or failures caused by third-party services.


14. ACCOUNT SUSPENSION & TERMINATION

Xtudent may suspend or terminate accounts:

  • For violations of these Terms or any Policy
  • For fraudulent, abusive, or unlawful activity
  • At its sole discretion, with or without prior notice

Termination does not waive any existing legal obligations.


15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Xtudent shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of data, profits, or opportunities
  • Trainer conduct or content accuracy

Xtudent’s total liability, if any, shall not exceed the amount paid by the User to xtudent.in.


16. INDEMNIFICATION

You agree to indemnify and hold harmless Xtudent from any claims, losses, damages, or expenses arising from:

  • Your misuse of the Platform
  • Violation of these Terms or Policies
  • Infringement of third-party rights

17. GOVERNING LAW & DISPUTE RESOLUTION

  • These Terms are governed by the laws of India
  • Disputes shall be resolved through arbitration
  • Jurisdiction shall lie with courts having authority as determined by Xtudent

18. MODIFICATIONS TO TERMS

Xtudent reserves the right to modify these Terms at any time.

Continued use of xtudent.in after updates constitutes acceptance of revised Terms.
